Introduction
Legal operator: KwaFlux Limited Company / Business Registration No.: 80432817 Registered office address: UNIT 225-22, 2/F MEGA CUBE, 8 WANG KWONG RD, KLN BAY, HONG KONG
These Subscription Terms apply to KwaFlux paid plans, subscriptions, perpetual licenses, trials, preview access, cloud credits, cloud processing, billing, cancellation, renewals, and plan changes. They supplement the Terms of Service.
1. Plans and pricing
KwaFlux may offer the following types of plans:
- Monthly subscription.
- Quarterly subscription.
- Yearly subscription.
- Lifetime or perpetual license.
- Free tier, trial, preview, beta, or waitlist access.
- Cloud credits, processing credits, usage-based plans, or promotional plans.
Current plan details, pricing, taxes, features, limits, renewal terms, cloud processing entitlements, device limits, and other rights are displayed on the pricing page, checkout page, account dashboard, or plan description. Future cloud service features, when launched, will be sold separately from desktop subscriptions and perpetual licenses unless a specific cloud entitlement or credit allowance is expressly included at checkout.
All prices are in USD unless otherwise stated. Taxes may be calculated and added at checkout based on your billing location.
2. Billing and payment
Payments are processed through Stripe or another payment processor displayed at checkout.
By subscribing, you authorize us and our payment processor to charge your payment method for recurring fees, applicable taxes, cloud credits, usage fees, and other charges at the billing interval shown at checkout.
Your subscription begins when payment is successfully processed, unless the checkout page states a different access date.
3. Automatic renewal
Monthly, quarterly, and yearly subscriptions renew automatically unless cancelled before the renewal date.
Renewal charges are processed at the then-current price for your plan, unless a promotional or grandfathered price applies.
If we increase the price of your current recurring plan, we will provide reasonable advance notice where required by law. You may cancel before the new price takes effect.
4. Cancellation
You may cancel your subscription through your account dashboard, billing portal, or by contacting support@kwaflux.com.
Cancellation stops future renewals. Unless the Refund Policy applies, cancellation does not automatically result in a refund for the current billing period.
After cancellation, you retain paid access until the end of the current billing period, unless your account is suspended or terminated for violation of the Terms of Service or Acceptable Use Policy.
5. Failed payments
If payment fails, we may retry the charge, notify you, and temporarily restrict access. If payment cannot be collected after a reasonable period, we may cancel or suspend your subscription, license, cloud processing access, or credits.
6. Plan changes
You may be able to upgrade, downgrade, or switch plans through the account dashboard.
Unless stated otherwise:
- Upgrades may take effect immediately with prorated billing.
- Downgrades may take effect at the next billing cycle.
- Switching from subscription to lifetime access may require a new purchase.
- Promotional prices may not be transferable between plans.
- Cloud credits, if offered, may expire or remain available according to the terms shown at checkout or in your account dashboard.
7. Free tier and preview access
Free-tier, preview, beta, or waitlist access is provided for evaluation and may be limited by preview length, export capability, watermarking, feature access, usage volume, cloud processing availability, queue priority, or platform availability.
We may modify, suspend, or discontinue free or preview access at any time.
If public builds are staged or waitlist-only, the download page or checkout page will describe the current release status.
8. Cloud processing and credits
Cloud service features are separate from local desktop features. Future cloud service features, including cloud processing, remote rendering, AI cloud features, cloud backup, team collaboration, processing credits, or usage-based entitlements, will be sold separately from desktop subscriptions and perpetual licenses unless a specific cloud entitlement or credit allowance is expressly included at checkout.
Cloud processing may be subject to:
- File size limits.
- Processing duration limits.
- Queue priority limits.
- Credit consumption rules.
- Storage and download retention periods.
- Fair use limits.
- Prohibited content restrictions.
- Technical availability and geographic restrictions.
Unused cloud credits may expire according to the terms shown at checkout, in the account dashboard, or in the applicable plan description. Unless required by law or expressly stated otherwise, used cloud credits are non-refundable.
We may refuse, suspend, or terminate cloud processing tasks that violate our Terms of Service, Acceptable Use Policy, security rules, or legal obligations.
9. Lifetime or perpetual license
A lifetime or perpetual license grants non-transferable access to the KwaFlux desktop product under the terms displayed at checkout. It is a one-time desktop license, not ownership of the software or a right to all future products or cloud services.
Unless the checkout page states otherwise, a lifetime license means:
- You receive ongoing access to the KwaFlux desktop product for your account while the product is maintained and made available.
- The license is tied to your account and may not be sold, transferred, rented, shared, or assigned.
- The license does not include future cloud service features, cloud credits, API access, enterprise services, managed services, custom models, third-party services, separate products, or future products released under a different name or product line, unless expressly included at checkout.
- We may require account login, license validation, and software updates for continued use.
To avoid misunderstanding, “lifetime” refers to the supported lifetime of the KwaFlux product, not your personal lifetime or perpetual operation of our business.
10. Updates
Paid plans may include updates during the applicable subscription period or license term as stated at checkout. Unless the checkout page states otherwise, a perpetual desktop license includes free updates only within the current major version of the KwaFlux desktop product. Future major versions may be charged separately.
Updates may include bug fixes, compatibility updates, security patches, performance improvements, model improvements, or feature changes. A major version means a separately designated product generation or version family, such as version 1.x, 2.x, or another version family identified by KwaFlux.
We may discontinue support for older versions, operating systems, hardware configurations, or drivers where continued support is no longer commercially or technically reasonable.
11. Account and device limits
Entitlements are tied to your account. Unless your plan states otherwise, only one active session is permitted at a time.
We may apply reasonable device, session, activation, cloud processing, credit, queue, or anti-abuse limits to prevent credential sharing, resale, automated use, or unauthorized access.
12. Taxes
You are responsible for applicable taxes unless collected at checkout. Taxes may vary based on billing location and applicable law.
If tax exemption applies, you must provide valid documentation before purchase or as required by our payment processor.
13. Refunds
Refunds are governed by the Refund Policy. Cancelling a subscription and requesting a refund are separate actions.
14. Changes to subscription terms
We may update these Subscription Terms. Material changes will be posted on the website or communicated through email, checkout, or the account dashboard where required.
